INTRODUCTION

All users who utilize any Services must agree to the following Terms of Service. As such, using MeetingMaker’ Services constitutes your agreement to all of the terms and conditions in these Terms of Service as well as MeetingMaker’s Privacy Policy. If you do not agree to these terms and conditions, you should not use any services offered by MeetingMaker. When you use our services, you are acknowledging not only that you agree to these Terms of Service, but also any terms, conditions, consents and disclosures contained in the privacy policy, guidelines, and/or end user license agreement located in the software application, website, and/or related services and materials. DEFINITIONS

The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural. For the purposes of these Terms:

Application (also referred to as “the MeetingMaker app”) means the software program provided by the Company downloaded by You on any electronic device, named MeetingMaker;

Application Store means the digital distribution service operated and developed by Apple Inc. (Apple App Store) or Google Inc. (Google Play Store) in which the Application has been downloaded.

Affiliate means an entity that controls, is controlled by or is under common control with a party, where “control” means ownership of 50% or more of the shares, equity interest or other securities entitled to vote for election of directors or other managing authority.

Account means a unique account created for You to access our Service or parts of our Service.

Country refers to: United States.

MeetingMaker (referred to as either “MeetingMaker, LLC”, “We”, “Us” or “Our” in this Agreement) refers to MeetingMaker, LLC, PO Box 2204, Traverse City, MI 49685.

Device means any device that can access the Service such as a computer, a cellphone or a digital tablet.

Free Trial refers to a limited period of time that may be free when purchasing a Subscription.

Services refers to the Application, related website, and services provided by the Application.

Subscriptions refer to the services or access to the Service offered on a subscription basis by the Company to You.

Terms and Conditions (also referred as “Terms”) mean these Terms and Conditions that form the entire agreement between You and MeetingMaker regarding the use of the Services.

Third-party Social Media Service means any services or content (including data, information, products or services) provided by a third-party that may be displayed, included or made available by the Services.

You means the individual accessing or using the Services, MeetingMaker, or MeetingMaker, or other legal entity on behalf of which such individual is accessing or using Services, as applicable.

ACKNOWLEDGMENT

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms and Conditions. These Terms apply to all visitors, users and others who access or use the Service.

Please read these terms and conditions carefully before using Our Services. These are the Terms of Service governing the use of this Service and the agreement that operates between You and MeetingMaker. These Terms and Conditions set out the rights and obligations of all users regarding the use of the Service. ANY USE OF THE MEETINGMAKER SOFTWARE APPLICATION, SITES OR RELATED SERVICES SIGNIFIES YOUR ACKNOWLEDGEMENT THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE. Therefore, please read these rules before you use MeetingMaker. This document explains what you can expect from MeetingMaker, as well as what is expected of you to use MeetingMaker.

By accessing or using the Service you agree to be bound by these Terms and Conditions. If you disagree with any part of these Terms and Conditions then you should not use any part of the Service.

PRIVACY POLICY

MeetingMaker is committed to protecting the privacy of all of our users. Our Privacy Policy is available to review here, which outlines how we collect, protect, and utilize your data while using our Services. By using the Service, you acknowledge your acceptance of and compliance with MeetingMaker’s Privacy Policy.

CHILDREN UNDER THE AGE OF 13

MeetingMaker Services are not intended for use by anyone under 13 years of age. No one under age 13 may provide any information, personal or otherwise, to or on any of our Services. We do not knowingly collect personal information from children under 13. If you are under 13, do not use or provide any information through our Services or on or through any of its features, make any purchases, use any of the interactive features, or provide any information about yourself to us, including your name, address, telephone number, email address, or any screen name or user name you may use. If we learn we have collected or received personal information from a child under 13 without verification of parental consent, we will delete that information. If you believe we might have any information from or about a child under 13, please contact us at support@meetingmaker.io. MeetingMaker is not responsible for any unintended use or violations arising from any user’s deliberate misrepresenting of their personal information.

SUBSCRIPTIONS

Subscription Period. For some users, the Services or some parts of the Services are only available with a paid subscription. You will be billed in advance on a recurring and periodic basis (such as daily, weekly, monthly or annually), depending on the type of subscription plan you select. At the end of each period, your subscription will automatically renew under the exact same conditions unless You cancel it or the Company cancels it.

Subscription Cancellations. You may cancel your subscription renewal either through the Settings screen or by contacting us at subscriptions@meetingmaker.io. You will not receive a refund for the fees you already paid for your current subscription period. You will be able to access the application until the end of your current subscription period.

Billing. You are expected to provide accurate and complete billing information – including full name, address, state, zip code, telephone number, and a valid payment method. Should automatic billing fail to occur for any reason, your access to any paid Services will discontinue on the renewal date. MeetingMaker will contact you indicating that you must update your billing information, with the full payment due.

Fee Changes. MeetingMaker, in its sole discretion and at any time, may modify subscription fees. Any subscription fee change will become effective at the end of the then-current subscription period. MeetingMaker will provide you with reasonable prior notice of any change to give you an opportunity to decide to continue your subscription before the change becomes effective. Continued use of the Service after the subscription fee change comes into effect constitutes your agreement to continue your subscription.

Refunds. Except when required by law, paid subscription fees are nonrefundable. However, certain refund requests for subscriptions may be considered by MeetingMaker on a case-by-case basis and granted at the sole discretion of MeetingMaker.

Free Trial. MeetingMaker may, at its sole discretion, offer a subscription with a free trial for a limited period of time. Billing information is required for free trial offers. You will not be charged until the free trial has expired. On the last day of the free trial period, unless you have cancelled your subscription, you may be automatically charged the applicable subscription fees for the type of subscription you have selected. At any time and without notice, MeetingMaker reserves the right to either modify the terms and conditions, and/or cancel the free trial.

USER EXPECTATIONS

Users must create an account in order to use the Application. You are responsible to provide Us information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in the termination of your account. In addition, you are responsible for maintaining secrecy regarding any personal information, passwords, and other information, and assume full responsibility for all activities that occur under your account. If you feel that your information has been compromised, you must contact us immediately at privacy@meetingmaker.io. MeetingMaker is not responsible for any disruptions or termination of your account arising from your failure to notify us of unauthorized activity.You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than you without appropriate authorization, or a name that is otherwise offensive, vulgar or obscene.

INTELLECTUAL PROPERTY

The Service and its original content (excluding content provided by you or other users), features and functionality are and will remain the exclusive property of MeetingMaker and its licensors. The Service is protected by copyright, trademark, and other laws of both the Country and foreign countries.
Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of MeetingMaker.

LINKS TO OTHER WEBSITES

Our Service may contain links to third-party web sites or services that are not owned or controlled by MeetingMaker.

MeetingMaker has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party web sites or services. You further acknowledge and agree that MeetingMaker shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such websites or services.

TERMINATION

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation breaching these Terms. Additionally, MeetingMaker reserves the right to terminate any user’s account at any time, for any reason, and shall incur no liability for a suspension or termination. Upon termination, your right to use the Service will cease immediately. If you wish to terminate your account, simply discontinue using the Service by terminating your subscription.

LIMITATION OF LIABILITY

Notwithstanding any damages you might incur, the entire liability of MeetingMaker and any of its suppliers under any provision of the Terms and your exclusive remedy for all of the foregoing shall be limited to the amount actually paid by you through the Service or 100 USD if you haven’ purchased anything through the Service.

To the maximum extent permitted by applicable law, in no event shall MeetingMaker or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data or other information, for business interruption, for personal injury, loss of privacy arising out of or in any way related to the use of or inability to use the Service, third-party software and/or third-party hardware used with the Service, or otherwise in connection with any provision of these Terms), even if MeetingMaker or any supplier has been advised of the possibility of such damages and even if the remedy fails of its essential purpose.

Some states do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, which means that some of the above limitations may not apply. In these states, each party’ liability will be limited to the greatest extent permitted by law.

“AS IS” AND “AS AVAILABLE” DISCLAIMER

The Service is provided to You “AS IS” and “AS AVAILABLE” and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, MeetingMaker, on its own behalf and on behalf of its Affiliates and its and their respective licensors and service providers, expressly disclaims all warranties, whether express, implied, statutory or otherwise, with respect to the Service, including all implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and warranties that may arise out of course of dealing, course of performance, usage or trade practice. Without limitation to the foregoing, MeetingMaker provides no warranty or undertaking, and makes no representation of any kind that the Service will meet your requirements, achieve any intended results, be compatible or work with any other software, applications, systems or services, operate without interruption, meet any performance or reliability standards or be error free or that any errors or defects can or will be corrected.

Without limiting the foregoing, neither MeetingMaker nor any of MeetingMaker’s providers makes any representation or warranty of any kind, express or implied: (i) as to the operation or availability of the Service, or the information, content, and materials or products included thereon; (ii) that the Service will be uninterrupted or error-free; (iii) as to the accuracy, reliability, or currency of any information or content provided through the Service; or (iv) that the Service, its servers, the content, or e-mails sent from or on behalf of MeetingMaker are free of viruses, scripts, trojan horses, worms, malware, time bombs or other harmful components.

Some jurisdictions do not allow the exclusion of certain types of warranties or limitations on applicable statutory rights of a consumer, so some or all of the above exclusions and limitations may not apply to You. But in such a case the exclusions and limitations set forth in this section shall be applied to the greatest extent enforceable under applicable law.

GOVERNING LAW

The laws of the United States, excluding its conflicts of law rules, shall govern these Terms and your use of the Service. Your use of the Application may also be subject to other local, state, national, or international laws.

Disputes Resolution

If You have any concern or dispute about the Service, you agree to first try to resolve the dispute informally by contacting the Company.

FOR EUROPEAN UNION (EU) USERS

If You are a European Union consumer, you will benefit from any mandatory provisions of the law of the country in which you reside.

UNITED STATES FEDERAL GOVERNMENT END USE PROVISIONS

If You are a U.S. federal government end user, our Service is a “Commercial Item” as that term is defined at 48 C.F.R. §2.101.

SEVERABILITY AND WAIVER

Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

Waiver

Except as provided herein, the failure to exercise a right or to require performance of an obligation under this Terms shall not effect a party’ ability to exercise such right or require such performance at any time thereafter nor shall be the waiver of a breach constitute a waiver of any subsequent breach.

TRANSLATION INTERPRETATION

These Terms and Conditions may have been translated if MeetingMaker has made them available to you on our Service. You agree that the original English text shall prevail in the case of a dispute.

CHANGES TO THESE TERMS AND CONDITIONS

MeetingMaker reserves the right to revise its TOS at any time by posting an update everywhere the TOS exists within its Services, with or without prior notice. We will notify you by revising the date on the TOS. We encourage you to stay informed about our privacy practices by reviewing the TOS whenever you interact with us. The TOS may change from time to time, and your continued use of Services after we make changes is deemed to be acceptance of those changes. If you do not agree to the new terms, in whole or in part, please stop using the website and Services.
